These Terms and Conditions govern the access to and use of the website operated by Musiva Studio Company, as well as the engagement of any services provided by Musiva Studio.

By accessing our website or engaging our services, you agree to be legally bound by these Terms. If you do not agree, you must refrain from using our website or contracting our services.

1. Company Overview

Musiva Studio is a branding and sonic identity studio specializing in the creation, composition, production, and strategic development of original audio assets for, including but not limited to:

  • Video games

  • Sports clubs

  • Commercial brands

  • Dance academies

  • Film and television productions

  • Hospitality venues (hotels, bars, restaurants, gyms)

  • Influencers and digital creators

  • Events and organizations

Our services integrate creative, artistic, and strategic components aimed at developing distinctive and proprietary sonic identities.

2. Scope of Services

Musiva Studio may provide, among others, the following services:

  • Original music composition

  • Sonic branding development

  • Sound design and audio production

  • Audio post-production

  • Strategic consulting in sonic identity

  • Adaptation, arrangement, and versioning of audio assets

Each project shall be governed by a written proposal, quotation, service agreement, or contract specifying:

  • Scope of work

  • Deliverables

  • Timeline

  • Fees and payment terms

  • Licensing terms

  • Revision limits

  • Any project-specific conditions

In the event of any inconsistency between these Terms and a signed agreement, the signed agreement shall prevail.

3. Intellectual Property Rights

3.1 Ownership

All works created by Musiva Studio, including but not limited to musical compositions, sound recordings, sound designs, arrangements, concepts, drafts, and derivative works (collectively, the “Works”), are protected by applicable copyright and intellectual property laws.

Unless expressly agreed otherwise in writing:

  • Musiva Studio shall retain a portion of the economic (patrimonial) rights in the Works.

  • The Client shall receive a license to use the Works in accordance with the agreed contractual terms.

No transfer of full ownership shall occur unless explicitly stated in a written and signed agreement.

3.2 License Grant

Upon full payment of all agreed fees, Musiva Studio grants the Client a non-exclusive or exclusive license (as defined in the agreement) to use the Works within the following parameters:

  • Approved media and platforms

  • Defined territory

  • Specified duration

  • Authorized commercial use

Any use beyond the agreed scope, including sublicensing, resale, redistribution, synchronization in additional projects, or modification, requires prior written authorization from Musiva Studio and may be subject to additional fees.

3.3 Moral Rights

Musiva Studio retains all moral rights to the Works, including the right to attribution and the right to protect the integrity of the work, where applicable under law.

3.4 Portfolio and Promotional Use

Unless subject to a separate confidentiality agreement (NDA), Musiva Studio reserves the right to:

  • Display completed projects in its portfolio

  • Use excerpts for marketing and promotional purposes

  • Publicly reference the Client’s name and project as part of its professional credentials

4. Client Materials and Representations

The Client represents and warrants that any materials, content, trademarks, logos, audiovisual assets, or references provided to Musiva Studio:

  • Are owned by the Client or properly licensed;

  • Do not infringe upon third-party rights;

  • May legally be used for the intended project.

The Client agrees to indemnify and hold Musiva Studio harmless from any claims arising from materials supplied by the Client.

5. Fees and Payment Terms

Fees shall be outlined in the applicable proposal or agreement.

Unless otherwise specified:

  • A non-refundable advance payment is required before project commencement.

  • Production work will not begin until the initial payment is received.

  • Final deliverables will not be released until full payment has been made.

Late payments may result in:

  • Suspension of work

  • Delay in delivery

  • Additional fees

  • Termination of the agreement

All payments are non-refundable once production has commenced, except where otherwise agreed in writing.

6. Revisions and Scope Modifications

Each project includes a specified number of revision rounds as defined in the proposal or agreement.

Requests exceeding the agreed revision limit or involving substantial changes to the original brief may:

  • Incur additional fees

  • Require timeline adjustments

  • Require a new agreement

Musiva Studio reserves the right to determine whether a request constitutes a new scope of work.

7. Project Timelines and Delays

Delivery timelines are estimates unless expressly stated as fixed deadlines.

Musiva Studio shall not be liable for delays caused by:

  • Late feedback from the Client

  • Failure to provide necessary materials

  • Force majeure events

  • Circumstances beyond reasonable control

8. Termination and Cancellation

8.1 Termination by Client

If the Client cancels a project:

  • The initial payment remains non-refundable.

  • The Client shall compensate Musiva Studio for all work completed up to the termination date.

  • No rights to unfinished or unpaid Works shall transfer to the Client.

8.2 Termination by Musiva Studio

Musiva Studio reserves the right to terminate a project in cases of:

  • Breach of contract

  • Non-payment

  • Abusive or unethical conduct

In such cases, compensation for work performed shall remain payable.

9. Limitation of Liability

To the maximum extent permitted by law, Musiva Studio shall not be liable for:

  • Indirect, incidental, or consequential damages

  • Loss of profits, revenue, or business opportunities

  • Reputational damages

  • Third-party claims arising from the Client’s use of the Works

Musiva Studio does not guarantee specific commercial results from the use of any sonic identity or creative asset.

Total liability shall not exceed the total fees paid by the Client for the specific project.

10. Confidentiality

Both parties agree to treat as confidential any proprietary, strategic, or sensitive information disclosed during the course of the project.

If required, a separate Non-Disclosure Agreement (NDA) may be executed.

11. Website Use

All website content, including text, graphics, branding, audio samples, and design elements, is the property of Musiva Studio and may not be copied, reproduced, distributed, or modified without prior written consent.

Unauthorized use may result in legal action.

12. Amendments

Musiva Studio reserves the right to update or modify these Terms at any time. Updated versions shall be effective upon publication on the website.

Continued use of the website or services constitutes acceptance of the revised Terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Lecheria, Venezuela.

Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Lecheria, Venezuela.
